1. Introduction and Acceptance

These Terms of Service (“Terms”) govern access to and use of the AcademicLog platform (“Service,” “Platform,” “AcademicLog”), a school management system provided by AcademicLog Technologies Limited, a company duly registered in Nigeria (“AcademicLog,” “we,” “us,” or “our”).

These Terms constitute a legally binding agreement between AcademicLog and the school, institution, or organization that registers for and uses the Service (the “School,” “you,” or “your”), acting through its authorized representative.

By registering for, accessing, or using the Service, the individual accepting these Terms on the School’s behalf represents that they have the authority to bind the School to these Terms. If you do not have that authority, or if the School does not agree to these Terms, you must not use the Service.

2. Definitions

• “Account” means the School’s registered presence on the Platform, including all sub-accounts for administrators, teachers, and (where enabled) parents/guardians and students.
• “Tenant” means the isolated logical environment on the Platform corresponding to a single School’s data and configuration.
• “School Data” means all data the School, its staff, students, or guardians submit to or generate through the Service, including student records, academic results, attendance records, staff records, and communications.
• “Active Student” means a student whose status is active and who is enrolled in the School’s current academic session on the Platform.
• “Subscription” means the School’s access to the Service under a Plan.
• “Plan” means one of the service levels described in §5: the Free Trial, Basic, Standard, Simple Custom, or Complete Custom, as updated from time to time and as shown on the Platform’s pricing page.
• “Plan Period” means the continuous period of access that a purchase covers. A “4-Month Plan” covers 122 consecutive days and a “1-Year Plan” covers 365 consecutive days (see §6.3).
• “Wallet” means the prepaid balance maintained on the Platform for a School, funded by bank transfer through Monnify (or another payment provider we may add), and used to pay for Plans and add-ons.
• “Top-Up Charges” means the charges deducted from each Wallet top-up, shown on the Platform as “Gateway, Technology & VAT” and described in §6.2.
• “Read-Only Mode” has the meaning given in §6.5.

3. Eligibility and Registration

3.1 Who may register

The Service is intended for use by legally operating primary and secondary schools in Nigeria. By registering, the School represents that it is a legitimate educational institution authorized to enter into this agreement.

3.2 Registration methods

The Service is currently made available through two registration paths:

• Invitation-based registration. During the pilot phase, Schools are onboarded directly by AcademicLog following an invitation. An authorized representative of the School completes registration and expressly accepts these Terms and the Privacy Policy on the School’s behalf.

• Self-serve registration. Where enabled, a School may register directly through the Platform without a prior invitation, by completing the signup flow and affirmatively accepting these Terms and the Privacy Policy (e.g., via a checkbox tied to the then-current version of each document) before gaining access to the Service.

At registration the School chooses whether to start the optional Free Trial described in §5.2. A School that does not start the Free Trial is in Read-Only Mode until it purchases its first Plan.

3.3 Acceptance record

AcademicLog will record, for each School: the version of these Terms and the Privacy Policy accepted, the date and time of acceptance, the IP address from which it was accepted, and the identity (name, role, and account) of the individual who accepted on the School’s behalf.

When these Terms change in a way that requires fresh acceptance (§17), the School’s administrator must accept the new version to continue using the administrative parts of the Service. Automatic renewal under §6.6 operates only for a School that has accepted a version of these Terms that contains it.

3.4 Accurate information

The School agrees to provide accurate, current, and complete information during registration and to keep such information updated.

4. Accounts, Roles, and Responsibilities

4.1 Account structure

Each School operates within its own isolated Tenant. The School may create sub-accounts for administrators, teachers, and, where enabled, parents/guardians and students.

4.2 Administrator responsibility

The School is responsible for all activity occurring under its Account, including actions taken by any user it authorizes to access the Service, and for maintaining the confidentiality of login credentials issued to its staff.

4.3 Accuracy of School Data

The School is solely responsible for the accuracy, legality, and appropriateness of all School Data it submits to the Service, including verifying that it has the necessary rights and, where applicable, parental/guardian consent to submit data relating to students who are minors.

4.4 Notice of unauthorized use

The School must notify AcademicLog promptly upon becoming aware of any unauthorized access to or use of its Account.

5. Subscription Plans

5.1 Available plans

AcademicLog offers the Plans below. Current prices are published on the Platform’s pricing page and shown on the School’s billing page before any purchase; they are not repeated in these Terms.

AcademicLog may introduce, modify, or retire Plans, ranges, and prices with notice as described in §17. A change does not affect a Plan Period already purchased.

5.2 Free Trial

The Free Trial is optional. A School starts it only by choosing it at registration. A School that does not choose it must buy a Plan before it can use the Service beyond Read-Only Mode. The Free Trial is available once per School.

• The Free Trial lasts 120 days from the day it starts.

• During the Free Trial a School may have no more than 60 Active Students. When that limit is reached the School cannot add another student, individually or by bulk import, until it buys additional student slots or the Free Trial ends. Rows of a bulk import beyond the limit are skipped and reported.

• The School may buy additional student slots at ₦500 per additional student, paid from its Wallet. Slots last only for the remainder of the Free Trial, do not carry into a paid Plan, and are not refundable.

• A School on the Free Trial may buy a paid Plan at any time. Unless AcademicLog states otherwise at the time of purchase, the paid Plan begins when the Free Trial ends, and the 60-student limit applies until then.

• Automatic renewal under §6.6 does not apply during the Free Trial. Money in the Wallet stays there until the School chooses a Plan or additional slots.

• When the Free Trial ends without a paid Plan in place, a grace period of seven days applies, after which the School is in Read-Only Mode.

5.3 Which Plan applies

A School may choose any Plan offered for self-service at the time of purchase. Where it does not choose, including on automatic renewal under §6.6, the Platform applies the Plan that fits: Basic where the School has 120 or fewer Active Students on the purchase date, otherwise Standard, or Simple Custom where the School’s previous Plan was Simple Custom.

A School must buy a Plan whose student range covers its Active Students on the purchase date. A School that buys a Plan with a smaller range than its Active Students agrees to move to the Plan that fits when AcademicLog notifies it, and to pay the price difference for the rest of that Plan Period.

The Plan and price are fixed for the Plan Period purchased, even if the School’s enrolment later changes. A change in enrolment affects the next purchase. AcademicLog may introduce limits on enrolment under a Plan in future, with notice under §17.

5.4 Simple Custom

Simple Custom is priced per Active Student at the time of purchase, at the 4-Month or 1-Year rate shown on the pricing page. The total is fixed for the Plan Period. A School whose previous Plan was Simple Custom is renewed on Simple Custom.

5.5 Complete Custom

Complete Custom is a Plan designed around the needs of a particular School and agreed with AcademicLog in writing. It is not purchased through the Platform, its price is not published, and it is not renewed automatically. Its renewal is by agreement.

5.6 Changing Plans

There are no mid-period upgrades or downgrades. A School chooses a Plan each time it buys, and purchases follow one another: a new purchase begins when the School’s current Plan Period ends, or immediately where there is none. Buying a different Plan does not shorten, replace, or refund the current Plan Period.

6. Billing, Wallet, and Payment

6.1 Prepaid service

The Service is prepaid. AcademicLog does not issue invoices for Plans and nothing is owed in arrears. AcademicLog never debits a bank account or card; it uses only money the School has already placed in its Wallet.

6.2 Wallet funding and Top-Up Charges

The School funds its Wallet at any time and in any amount by bank transfer to the permanent account numbers issued for it through Monnify. Those account numbers are created once, using the National Identification Number (NIN) or Bank Verification Number (BVN) of the School’s proprietor or bank signatory. AcademicLog passes that number to its banking partner and does not store it (see the Privacy Policy). A top-up is credited after Monnify confirms the payment.

The amount credited to the Wallet is the amount transferred less the Top-Up Charges:

• a gateway fee of 1.5% of the transfer, capped at ₦2,000, charged by our payment provider;

• value-added tax (VAT) at 7.5% on that gateway fee; and

• AcademicLog’s technology fee of 0.1% of the transfer, capped at ₦50. The billing page shows these together as “Gateway, Technology & VAT” and includes a calculator that states how much to transfer to receive a chosen Wallet credit. Transfer totals are rounded up to a whole naira, and any resulting excess stays in the Wallet as credit. The figures above are current at the date of these Terms. The Platform’s charges page states the current schedule, and changes are made under §17. Top-Up Charges are deducted when a transfer is credited, are not part of the Wallet balance, and are not refundable (§7.2). A transfer that cannot be matched to a School is held by AcademicLog and attributed on request. A School whose transfer does not appear in its Wallet should contact support.

6.3 Plan Periods

A 4-Month Plan covers 122 consecutive days and a 1-Year Plan covers 365 consecutive days. These lengths are fixed. They do not depend on the School’s term or session dates, on holidays, or on any later change the School makes to its academic calendar, and unused days are not credited or extended. A Plan Period begins on the date of purchase or, where the School already has a Plan Period running, on the day that period ends. Buying early therefore never wastes a day.

6.4 Buying a Plan

A School may buy a 4-Month Plan or a 1-Year Plan from its billing page at any time. The price is shown before purchase and is paid from the Wallet. A purchase is made only if the Wallet covers the full price. AcademicLog never takes a partial payment or sells a partial Plan Period, and an insufficient balance is left untouched.

6.5 No grace period; Read-Only Mode

Paid Plans have no grace period. When a Plan Period ends and no later one has begun, the School’s Account enters “Read-Only Mode” immediately. In Read-Only Mode the School can view and download everything already issued, but new entries are paused, including new report card generation. Access resumes as soon as a new Plan Period begins. The seven-day grace period after the Free Trial is described in §5.2.

6.6 Automatic renewal

By accepting these Terms the School authorises AcademicLog to renew its Subscription automatically from its Wallet, on this basis:

• Renewal is attempted daily once the current Plan Period has 30 days or fewer left, and at any later time while the School has no active Plan Period. A payment received inside that window also triggers it.

• Each automatic renewal buys one 4-Month Plan, on the Plan that applies under §5.3, at the price published on the date of renewal. Automatic renewal never buys a 1-Year Plan.

• It takes place only if the Wallet covers the full price. Otherwise nothing is bought and the Wallet is left untouched.

• The renewed Plan Period begins when the current one ends.

• AcademicLog emails the School a confirmation of each automatic renewal, stating the amount charged and the date the Plan now runs to.

• It does not apply during the Free Trial or to Complete Custom, and it begins only once the School has accepted these Terms. Automatic renewal is part of the Service and cannot be switched off separately while the Subscription is active. It spends only money the School has itself placed in its Wallet. The School controls it by deciding what to keep in the Wallet, and may stop it by cancelling under §12.1 and, if it wishes, withdrawing its balance under §7.2. 6.7 Reminders and notices AcademicLog sends:

• a receipt by email for each Wallet top-up;

• a renewal reminder once a week during the last three weeks of a Plan Period, but only if the School has not already bought its next Plan Period and its Wallet would not renew it automatically; and

• a confirmation of each automatic renewal. Emails go to the School’s administrators and to the notification email address given when the School’s account numbers were created. Reminders are a courtesy. A reminder that is not sent or not received does not extend a Plan Period, and the School is responsible for keeping its contact details current and for knowing when its Plan Period ends.

6.8 Promo codes

AcademicLog may issue promo codes that give a percentage off a purchase until an expiry date. A School enters a code at purchase on its billing page, and may use a given code once. A code applies only to the Plan price of that purchase. It does not apply to Top-Up Charges, to automatic renewals, or to purchases already made. AcademicLog may refuse or cancel a code that is used contrary to its terms.

6.9 Complimentary access

AcademicLog may at its discretion grant a School complimentary access, for example the Free Trial or a pilot period. A complimentary period carries no Wallet debit, ends on the date stated, and does not draw down the Wallet. When it ends, the School must buy a Plan to continue beyond Read-Only Mode.

6.10 Taxes

Plan prices displayed are VAT on the gateway fee is deducted as described in §6.2.

7. Wallet Balance on Lapse or Cancellation

AcademicLog holds the principle that unspent Wallet funds belong to the School until services have actually been rendered against them, and are never automatically forfeited. The Wallet is a prepaid balance for use on the Service. It is not a bank account, earns no interest, and is not a deposit.

7.1 Lapse

A Wallet balance remaining when a Plan Period ends without renewal is held intact. It is used only when a purchase can be paid in full (§6.4), and is available immediately when the School buys or renews.

7.2 Formal cancellation and refund requests

Upon formal cancellation of a Subscription by the School, the School may submit a request to withdraw its remaining Wallet balance to a verified bank account. AcademicLog will review and, upon approval, disburse the balance via Monnify or manual transfer, and will record the transaction accordingly.

The balance available for withdrawal is the amount credited to the Wallet, after Top-Up Charges. Top-Up Charges, the cost of student slots bought under §5.2, and the price of any Plan Period already bought are not refundable, except as required by applicable law.

7.3 Abandoned balances

A Wallet balance that remains on a cancelled, inactive Account for twelve (12) months or more, with no withdrawal request submitted and the balance below a de minimis threshold, may be flagged for manual administrative review and clearing. Clearing of an abandoned balance is never automatic — it requires an identified administrator’s action and is logged for audit purposes.

8. Ownership of School Data

8.1 School Data ownership

As between AcademicLog and the School, the School retains all right, title, and interest in and to its School Data. AcademicLog does not claim ownership of School Data.

8.2 License to AcademicLog

The School grants AcademicLog a limited license to host, process, transmit, and display School Data solely as necessary to provide, maintain, secure, and support the Service, and as otherwise described in the Privacy Policy.

8.3 Data processing role

9. Acceptable Use

The School agrees not to, and to ensure its authorized users do not:

• use the Service for any unlawful purpose or in violation of any applicable law, including data protection law;

• upload or submit data the School does not have the right or necessary consent to submit;

• attempt to gain unauthorized access to another School’s Tenant or data;

• interfere with or disrupt the integrity or performance of the Service;

• reverse engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law;

• use the Service to transmit malicious code or engage in any activity that could harm AcademicLog or other users; or

• misrepresent its identity or affiliation, or impersonate any person or entity. AcademicLog reserves the right to suspend or terminate access for any School in material breach of this section, subject to §12.

10. Intellectual Property

10.1 AcademicLog IP

The Service, including its software, design, trademarks, and underlying technology, is the property of AcademicLog Technologies Limited and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to the School in or to the Service.

10.2 Feedback

If the School provides feedback or suggestions regarding the Service, AcademicLog may use such feedback without restriction or obligation to the School.

11. Third-Party Services

The Service integrates with a third-party payment provider, currently Monnify, to process Wallet top-ups and disbursements, and relies on third-party providers for hosting, email delivery, and similar infrastructure (see §7 of the Privacy Policy). Use of the payment provider is subject to its own terms and privacy policy. AcademicLog is not responsible for the acts or omissions of third-party providers, though AcademicLog remains responsible for its own use and handling of data received from them, as described in the Privacy Policy.

12. Termination and Cancellation

12.1 Cancellation by the School

A School may cancel its Subscription at any time by contacting AcademicLog. Cancellation takes effect at the end of the Plan Period already bought and ends automatic renewal under §6.6. Cancellation does not entitle the School to a refund of amounts already paid for a Plan Period already bought, except as may be required by applicable law, but does not affect the School’s right to request withdrawal of its remaining Wallet balance under §7.2.

12.2 Termination by AcademicLog

AcademicLog may suspend or terminate a School’s access to the Service for material breach of these Terms, for failure to renew after a Plan Period has ended for (during which the School remains in Read-Only Mode under §6.5), or for conduct that AcademicLog reasonably believes poses a risk to the Service, other users, or students’ data — with notice where practicable.

12.3 Effect of termination

Upon termination, the School’s right to access the Service ends. School Data will be retained and made available for export for a period of 90 days following termination, after which it will be deleted in accordance with the Privacy Policy’s retention schedule, unless a longer retention period is required by law. Deletion removes student, staff, and report card data. Billing records are kept, but the personal details in them (names, email addresses, bank account details, and raw payment payloads) are removed. Amounts, dates, payment references, and AcademicLog’s own account numbers are retained for.

13. Data Export

Upon request, and during the post-termination retention window described in §12.3, AcademicLog will make the School’s data available for export in a reasonable format. School administrators can also generate an export from the Platform’s export tool.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACADEMICLOG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ACADEMICLOG DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACADEMICLOG’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE SCHOOL TO ACADEMICLOG IN THE twelve (12) months PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL ACADEMICLOG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

16. Indemnification

The School agrees to indemnify and hold AcademicLog harmless from claims, damages, and expenses (including reasonable legal fees) arising from the School’s breach of these Terms, its School Data, or its violation of applicable law, including data protection law regarding the data it submits to the Service.

17. Changes to These Terms

AcademicLog may update these Terms from time to time. Material changes will be communicated to Schools by email to the registered administrator and/or in-app notice at least seven days before taking effect. Each version of these Terms will be dated and retained, and the School’s acceptance will be recorded against the specific version in effect at the time of acceptance, per §3.3. Price and charge changes. AcademicLog may change Plan prices, student ranges, and Top-Up Charges on the same notice. A change does not affect a Plan Period already bought. It applies to the next purchase, including an automatic renewal, made after it takes effect. A School that does not accept a change may cancel under §12.1 before it takes effect. Acceptance of changed Terms. Where a change requires fresh acceptance, the School’s administrator must accept the new version to continue using the administrative parts of the Service. Automatic renewal under §6.6 operates only for a School that has accepted a version of these Terms that contains it.

18. Governing Law and Dispute Resolution

19. General

• Entire agreement. These Terms, together with the Privacy Policy and any Data Processing Agreement executed between the parties, constitute the entire agreement between the School and AcademicLog regarding the Service.

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

• No waiver. AcademicLog’s failure to enforce any provision is not a waiver of its right to do so later.

• Assignment. The School may not assign these Terms without AcademicLog’s prior written consent. AcademicLog may assign these Terms in connection with a merger, acquisition, or sale of assets.

• Notices. AcademicLog may give notices under these Terms by email to the School’s registered administrators and to the notification email address given when its account numbers were created, and by notice within the Platform.
